About these terms
These Terms of Service form a legal agreement between you (the “Customer”) and Jon Hubbard t/a Technoliga (“we”, “us”, “our”).
EasyYouthClub is a product of Jon Hubbard t/a Technoliga. All sales and contracts for the EasyYouthClub service are between the Customer and Jon Hubbard t/a Technoliga.
Our trading address is 2 Sweetbriar Road, Melksham, Wiltshire SN12 6FR. We are registered in England & Wales.
By signing up for an account, starting a free trial or otherwise using the Service, you accept these terms. If you do not accept them, do not use the Service.
These terms govern your use of the EasyYouthClub platform and any associated services (together, the “Service”).
Definitions
- Service / Platform — the EasyYouthClub software-as-a-service offering, including any related websites, apps and APIs.
- Tenant Site — the dedicated instance of the Service provisioned for the Customer, including its database and any subdomain.
- Customer Data — all data, files, content and information uploaded to or generated within the Tenant Site by the Customer or its users.
- Personal Data — has the meaning given in the UK GDPR.
- Subscription — the Customer’s paid plan, including the term and any included usage limits.
Your subscription
- We offer a range of plan tiers, available on monthly or annual billing cycles.
- A 14-day free trial is available on all plans. No payment details are required to start the trial.
- Paid subscriptions auto-renew at the end of each billing period until cancelled.
- All pricing is shown in pounds sterling (GBP) and is exclusive of VAT, where VAT applies.
- We may change pricing for renewals on at least 30 days’ written notice. Your existing terms apply until the next renewal.
Payment terms
- Subscriptions are paid in advance via Stripe (debit/credit card) or GoCardless (Direct Debit).
- We do not accept payment by cheque.
- If a payment fails, the Service may be suspended after 7 days of non-payment. We will attempt to contact you before any suspension.
- Late payment interest accrues at 8% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
Customer responsibilities
- Provide accurate, current and complete account information.
- Keep your login credentials secure and notify us promptly of any suspected unauthorised access.
- You are the Data Controller for any personal data you upload to your Tenant Site.
- You are responsible for obtaining all necessary consents from parents, guardians, staff and young people under the UK GDPR.
- You must comply with your safeguarding obligations and any applicable regulatory requirements.
- You are responsible for the content uploaded to your Tenant Site, including any public-facing pages.
Acceptable use
You may not use the Service to:
- Upload or transmit illegal, abusive, harassing, defamatory or harmful content
- Distribute malware, viruses or other malicious code
- Send spam or unsolicited bulk communications
- Scrape, mirror or otherwise extract the Service’s content in bulk
- Attempt to reverse engineer, decompile or otherwise derive the source code of the Service
- Attempt unauthorised access to any part of the Service, other accounts or associated systems
- Upload content that endangers, exploits or harms young people in any way
We may suspend or terminate accounts that breach these rules without prior notice.
Service availability
- We target 99.5% uptime measured monthly, excluding scheduled maintenance.
- Where practical, we will give at least 48 hours’ notice of scheduled maintenance.
- If verified downtime exceeds the target in any month, we will provide a pro-rata service credit on request.
Data ownership and processing
- Customer Data remains the property of the Customer at all times.
- We act as a Data Processor in respect of Customer Data. Our obligations as Data Processor are set out in our Data Processing Agreement, which forms part of these terms.
- You may export your Customer Data at any time during the subscription term using the tools we provide.
- On cancellation, you may export your data for a further 30 days. After that, we will delete Customer Data within 30 days unless we are required to retain it for a legal hold.
Our intellectual property
- The Service, including its software, design, branding and documentation, is owned by Jon Hubbard t/a Technoliga.
- You are granted a non-exclusive, non-transferable, revocable licence to use the Service during the subscription term, solely for your organisation’s internal purposes.
- You may not redistribute, sublicense, sell or otherwise commercially exploit the Service or its underlying technology.
Confidentiality
Each party agrees to keep the other’s non-public information confidential and to use it only as necessary to perform its obligations under these terms. This obligation survives termination.
Liability
- Subject to the points below, our total liability under these terms in any 12-month period is capped at the total fees paid by the Customer to us in the 12 months immediately preceding the event giving rise to the claim.
- Neither party is liable for indirect, consequential or special losses, loss of profit, loss of goodwill, loss of anticipated savings or loss of data (subject to each party’s obligations to maintain backups).
- Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot be excluded or limited by law.
Term and termination
- The subscription continues until cancelled by either party.
- You may cancel at any time. Your subscription will continue until the end of the current billing period, after which it will not renew.
- We may terminate the agreement for material breach. Where the breach is remediable, we will give you 14 days’ written notice to put it right.
- We may terminate immediately for non-payment that remains unresolved 14 days after the original due date.
Changes to the Service or terms
- We may modify the Service from time to time. Where a change materially reduces functionality, we will notify you in advance.
- We may update these terms on at least 30 days’ notice. Continued use of the Service after the notice period will constitute acceptance of the updated terms.
Governing law
These terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction to resolve any dispute arising under or in connection with these terms.
